Tesla-SpaceX Merger Talk Builds Ahead of Tesla's Oct. 21 Earnings Call

Seeking Alpha asked its analysts whether Tesla should merge with SpaceX after Barclays said an all-stock deal could be announced before Tesla's annual meeting, expected by Dec. 6. No merger has been announced. Musk's "more and more overlap" remark came on Tesla's July 22 call; the next one is Oct. 21.

Correction (Oct 18): An earlier version of this story presented Elon Musk's "more and more overlap" remarks and Gene Munster's 90% merger odds as coming from a new Tesla earnings call. They date to Tesla's July 22 second-quarter call; Tesla's next earnings call is Oct. 21. The story has been rewritten around current merger speculation, and an unverified line attributed to SpaceX President Gwynne Shotwell was removed.

Seeking Alpha asked several of its analysts on Sunday whether Tesla should merge with SpaceX, as speculation about a combination builds ahead of Tesla's third-quarter earnings call on Wednesday, Oct. 21. No merger has been announced or filed.

Barclays sees a possible deal before Tesla's annual meeting. Barclays analysts said last week that an all-stock merger could be announced before Tesla's annual meeting, which is expected to be held by Dec. 6. Analyst Dan Levy said a deal could be pitched as AI vertical integration, CNBC reported. On prediction market Kalshi, odds of a merger before March jumped to 56% from 29% on Friday.

Analysts are split on the benefits. Seeking Alpha's analysts pointed to synergies and a simpler corporate structure, but most raised concerns about cash going to loss-making projects, dilution, and Tesla shareholders funding riskier SpaceX ventures such as AI.

Musk's "overlap" remark dates to July. On Tesla's July 22 second-quarter call, Musk said "there's more and more overlap" with SpaceX, especially with the Terafab chip project, but added that combining companies can't be discussed on an earnings call. Deepwater Asset Management's Gene Munster then raised his odds that the two will combine within a few years to 90% from 80%.
