AMD agrees to sell $4.75 billion in four series of senior unsecured notes via an underwriting deal with banks such as Barclays, BofA, Citi, JPMorgan, Morgan Stanley and Wells Fargo. Advanced Micro Devices has signed an underwriting agreement with a syndicate of banks to sell a total of $4.75 billion in four separate series of senior unsecured notes.

AMD agrees to sell four series of senior notes. The Delaware corporation plans to issue approximately $1.25 billion of notes carrying a 4.600 percent coupon and maturing in 2029, $1.5 billion of 5.000 percent notes due in 2031, $1 billion of 5.250 percent notes due in 2033, and $1 billion of 5.500 percent notes due in 2036. The banks acting as representatives for the underwriters are Barclays Capital Inc., BofA Securities Inc., Citigroup Global Markets Inc., J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC and Wells Fargo Securities LLC.

The notes will be issued under the base indenture dated June 9, 2022 between the company and U.S. Bank Trust Company National Association as trustee, as supplemented by a third supplemental indenture scheduled for the closing date.

The offering uses an existing shelf registration. AMD previously filed a registration statement on Form S-3 (File No. 333-298288) with the Securities and Exchange Commission. A preliminary prospectus supplement was dated August 13, 2026; the final prospectus will be provided to the underwriters for confirming sales.
