Tesla's 2026 annual meeting is December 3. Shareholders will vote on three items: re-electing Musk, Denholm and Straubel to three-year terms, an advisory vote on 2025 executive pay, and ratifying PwC as auditor.

Tesla filed its definitive proxy statement (DEF 14A) with the U.S. Securities and Exchange Commission on October 19, 2026, for its 2026 annual meeting of shareholders on December 3, 2026.

Meeting set for December 3 at Gigafactory Texas.

The meeting starts at 3:00 p.m. Central Time. Shareholders can attend virtually at www.virtualshareholdermeeting.com/TSLA2026, and a limited number can attend in person at Gigafactory Texas, 1 Tesla Road, Austin, Texas. Tesla will also webcast the meeting at tesla.com/2026shareholdermeeting. Votes cast ahead of the meeting through ProxyVote are due by 11:59 p.m. Eastern Time on December 2, 2026.

Three Tesla proposals are on the ballot.

Proposal One asks shareholders to elect three Class I directors to three-year terms: CEO Elon Musk, board chair Robyn Denholm and director JB Straubel. Proposal Two is a non-binding advisory vote, commonly called say-on-pay, approving the compensation of Tesla's named executive officers for fiscal 2025. Tesla holds this advisory vote every year. Proposal Three asks shareholders to ratify PricewaterhouseCoopers LLP as Tesla's independent registered public accounting firm for the fiscal year ending December 31, 2026.

The board recommends a vote for each proposal.

The board recommends shareholders vote for each director nominee and for Proposals Two and Three. The notice lists no shareholder proposals, a change from last year's meeting, which included several. The proxy says the say-on-pay result is not binding on the company, the Compensation Committee or the board, but the Compensation Committee will consider any significant vote against when evaluating future pay decisions.
