Anthropic filed its Form S-1 on Oct 26 for a proposed IPO and intends to list on Nasdaq as "ANT", with the share count and price range not set. The filing reports $16.3B revenue and an $80.7B net loss, mostly a $72.4B non-cash fair-value charge, for the first six months of 2026.

Anthropic, PBC filed a registration statement on Form S-1 with the SEC on Oct. 26 for a proposed initial public offering of its Class A common stock. It intends to list the shares on the Nasdaq Global Select Market under the symbol "ANT." The registration statement has not yet become effective, and the number of shares and the price range have not been set.

What the filing shows

For the six months ended June 30, 2026, Anthropic reports revenue of $16,286 million, up from $1,163 million a year earlier, and a net loss of $80,748 million. The net loss includes a $72,388 million change in the fair value of convertible notes, derivatives and SAFEs, which the filing attributes to an increase in Anthropic's enterprise valuation. It states no valuation figure. The operating loss for the period was $693 million.

For 2025, revenue was $4,585 million, the net loss was $41,965 million and the operating loss was $8,060 million.

Governance

Anthropic is a public benefit corporation. Through Class T common stock, its Long-Term Benefit Trust can elect and remove directors who will make up a majority of the board. Immediately before the offering is completed, Anthropic will issue a single Class F share to a Founder LLC organized by its co-founders, carrying 50.1% of the total voting power. The filing says Anthropic is a "controlled company" under Nasdaq rules.
